Terms of service

1. Agreement to terms

By accessing or using BalanseOS (“Balanse”, “the service”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the service.

2. Who we are

BalanseOS is operated by BalanseOS Ltd, a company registered in Scotland (company number SC848883), with its registered office at 31 Dudley Crescent, Edinburgh, EH6 4QJ.

3. What BalanseOS provides

BalanseOS is a personal development and intentional-living platform. It provides tools for reflection, planning, habit-building, goal-setting and life alignment, including:

• Daily reflections, check-ins and journaling
• Day, week and month planning tools
• Habit, streak and progress tracking
• An AI-powered coaching feature (“Optimistic Coach”)
• Optional integrations, including Google Calendar
• Educational content, blog articles and challenges

4. Eligibility and accounts

You must be at least 18 years old to use BalanseOS. By creating an account, you confirm that the information you provide is accurate and that you will keep your login credentials secure.

You are responsible for all activity that takes place under your account.

5. Subscriptions, trials and billing

BalanseOS is a paid subscription service. New subscribers receive a 14-day free trial. Payment details are collected at the start of the trial, and unless you cancel before the trial ends, your subscription will convert automatically into a paid monthly subscription at the price shown at checkout.

Payments are processed securely by Stripe. We do not store your full payment card details.

• Subscriptions renew automatically at the end of each billing period unless cancelled.
• You can cancel at any time through the billing area in your account settings, or by emailing loral@balanseos.com.
• Cancellation takes effect at the end of the current paid billing period; you keep access until then.
• We do not provide refunds for partial billing periods, except where required by law.
• If you are a UK consumer, you may have a statutory 14-day right to cancel under the Consumer Contracts Regulations 2013. By starting to use the digital service immediately, you acknowledge that you may lose this right once access has been fully provided.

6. Not professional advice

BalanseOS provides personal development tools and general wellbeing content. It is not medical, psychological, psychiatric, financial or legal advice, and it is not a substitute for professional care.

The Optimistic Coach and other AI features provide general coaching-style guidance only. If you are experiencing a mental health crisis, or any other emergency, please contact your GP, call NHS 111, or dial 999 in an emergency. You can also contact Samaritans free, day or night, on 116 123.

Never disregard professional advice because of something you have read or been told within BalanseOS.

7. AI features

Some features use artificial intelligence provided by third-party AI providers to generate coaching responses, suggestions and summaries.

• AI-generated content may be inaccurate, incomplete or unsuitable for your situation. You are responsible for how you choose to act on it.
• Do not rely on AI output for medical, legal, financial or safety-critical decisions.
• Your conversations are processed to provide the service, as described in our Privacy Policy.

8. Google Calendar integration

If you choose to connect Google Calendar, you authorise BalanseOS to access your calendar data in line with the permissions you grant through Google.

• We use this access only to display your events within BalanseOS and, where you ask us to, to create, update or delete events on your behalf.
• We do not store copies of your Google Calendar events on our servers.
• You can disconnect Google Calendar at any time in Settings, which revokes our access.
• BalanseOS’s use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

9. Your content

You retain ownership of the content you create in BalanseOS, including your reflections, journal entries, plans, goals and vision work.

You grant us a limited licence to store, process and display your content solely to provide and improve the service to you. We do not sell your content, and we do not use your private entries to train third-party AI models.

You can request a copy or deletion of your content at any time by emailing loral@balanseos.com.

10. Acceptable use

You agree not to:

• Use the service for anything unlawful, harmful, threatening, abusive or discriminatory
• Upload or share content that infringes the rights of others
• Attempt to gain unauthorised access to the service, other accounts or our systems
• Interfere with, disrupt or probe the security of the service
• Scrape, harvest or bulk-extract data from the service
• Resell, sublicense or commercially exploit the service without our written permission
• Use the AI features to generate harmful, deceptive or illegal content

We may suspend or terminate accounts that breach these rules.

11. Intellectual property

The BalanseOS name, branding, design, software, methodology and original content are owned by or licensed to BalanseOS Ltd and are protected by intellectual property laws.

We grant you a personal, non-exclusive, non-transferable licence to use the service for your own personal development while your subscription is active. You may not copy, reproduce, distribute or create derivative works from our content or software without permission.

12. Third-party services

BalanseOS relies on trusted third-party providers to operate, including hosting and database providers, payment processing, email delivery, AI providers and, where you enable it, Google Calendar.

Each provider processes data under its own terms and privacy policies. We are not responsible for the content, policies or practices of third-party services.

13. Availability and changes

We work hard to keep BalanseOS available and improving, but we do not guarantee uninterrupted or error-free operation. We may add, change, suspend or discontinue features from time to time. Where a change materially reduces the service you pay for, we will give reasonable notice and, where appropriate, the option to cancel.

14. Privacy

Your privacy matters to us. Our Privacy Policy explains what personal data we collect, how we use it, how long we keep it and the rights you have. By using BalanseOS, you acknowledge that your data will be processed as described there.

15. Disclaimers

BalanseOS is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the service will meet your expectations, produce any particular personal or professional outcome, or that AI-generated content will be accurate.

16. Limitation of liability

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

Subject to that, to the fullest extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, goodwill or opportunities.
• Our total liability to you for any claim arising from or relating to the service will not exceed the amount you paid us in the 12 months before the claim arose.

17. Indemnity

You agree to indemnify and hold BalanseOS Ltd harmless from claims, losses and expenses arising out of your breach of these terms, your misuse of the service, or your infringement of any third party’s rights.

18. Termination

You may close your account at any time. We may suspend or terminate your access if you breach these terms, if payment fails and is not resolved, or where required for legal or security reasons.

On termination, your right to use the service ends. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability and governing law) continue to apply.

19. Governing law and disputes

These terms are governed by the laws of Scotland. The courts of Scotland will have exclusive jurisdiction over any dispute, except that if you are a consumer living elsewhere in the UK or EU, you may also benefit from the mandatory protections and courts of your home jurisdiction.

20. Changes to these terms

We may update these terms from time to time. If we make material changes, we will notify you by email or within the app before they take effect. Continuing to use BalanseOS after the changes take effect means you accept the updated terms.

21. Severability

If any part of these terms is found to be invalid or unenforceable, the rest will continue in full force.

22. No waiver

If we do not enforce a right under these terms, that does not mean we have waived it.

23. Entire agreement

These terms, together with our Privacy Policy and Cookie Policy, form the entire agreement between you and BalanseOS Ltd about the service.
